1 Definitions

• "Stagd" means Stagd FZ-LLC, registered in the DMCC Free Zone, Dubai, UAE.
• "Platform" means the Stagd website, mobile apps (iOS and Android), and related services.
• "Booker" means any individual or entity that uses the Platform to book studio space or talent — creators, photographers, brands, agencies.
• "Studio Partner" means any individual or entity that lists studio space on the Platform.
• "Talent" means production professionals (photographers, videographers, models, stylists, etc.) who offer services via the talent marketplace.
• "User" means any person who accesses or uses the Platform in any capacity.
• "Booking" means a confirmed reservation of studio space and/or talent services made through the Platform.
• "Listing" means a Studio Partner's published studio profile on the Platform.
• "AED" means UAE Dirhams, the currency in which all Platform transactions are denominated.

2 The Stagd Platform

Stagd operates as a marketplace intermediary. We connect Bookers with Studio Partners and Talent. We are not a studio operator, photography service provider, or employer of Talent. The contractual relationship for each booking is directly between the Booker and the Studio Partner or Talent.

We aim for 99.5% platform uptime but do not guarantee uninterrupted access. We may suspend the platform for maintenance with reasonable advance notice. We reserve the right to modify or remove features, with 14 days' notice of material changes that affect existing bookings or financial terms.

3 Account Registration

You must be at least 18 years of age and legally capable of entering into binding contracts under UAE law. By registering, you represent that you meet these requirements and that all information you provide is accurate and kept up to date.

You are responsible for maintaining the confidentiality of your login credentials and must notify us immediately at support@stagd.co if you suspect unauthorised access. Each individual may hold one personal account; businesses may hold one business account. Creating multiple accounts to circumvent restrictions will result in all associated accounts being suspended.

4 Bookings & the Booking Contract

A booking is confirmed only when payment is successfully processed and both parties receive a confirmation notification. Upon confirmation, a direct contract is formed between the Booker and the Studio Partner, and separately between the Booker and each Talent member. Stagd is not a party to these contracts but provides the facilitation infrastructure.

Address disclosure: The exact studio address is revealed to the Booker only after payment is confirmed. Attempting to obtain the address before booking is a violation of these Terms.

Escrow: Payment is held in escrow for 24 hours following booking completion. During this window Bookers may raise disputes. After 24 hours with no dispute, funds are released on a T+2 settlement schedule.

5 Payments, Fees & Taxes

All transactions are denominated in UAE Dirhams (AED). International card payments are subject to your card issuer's exchange rate.

All fees are clearly displayed at checkout before payment. Payouts to Studio Partners and Talent are processed within 48 hours of booking completion (T+2), subject to a 24-hour dispute window. Minimum payout threshold: AED 100.

6 Cancellations & Refunds

Each Listing has a Studio Partner-set cancellation policy:

• Flexible: Full refund if cancelled 24+ hours before start; 50% within 24 hours.
• Moderate: Full refund if cancelled 5+ days before; 50% for 1–5 days before; no refund within 24 hours.
• Strict: Full refund if cancelled 14+ days before; 50% for 7–14 days before; no refund within 7 days.

If a Studio Partner cancels a confirmed booking, the Booker receives a full refund including all fees. Studio Partners who cancel within 48 hours of a booking start time may be subject to a penalty. Refunds are processed to the original payment method within 5–10 business days.

7 Studio Partner Obligations

By listing a studio, Studio Partners agree to:

• Ensure all Listing information is accurate and kept up to date
• Maintain the studio in the condition represented in the Listing
• Honour all confirmed bookings; cancellations within 48 hours are subject to penalties
• Ensure the studio complies with all applicable UAE health, safety, fire, and commercial regulations
• Hold required trade licences, permits, or insurance for operating the studio commercially
• Maintain public liability insurance of at least AED 1,000,000 per event
• Respond to booking enquiries within 2 hours during stated operating hours
• Not solicit Bookers to make payments outside the Platform (see §5.5)
• Provide the exact studio address only to confirmed and paid Bookers via the Platform

8 Creator & Booker Obligations

Bookers agree to:

• Use the studio only for purposes disclosed at the time of booking
• Vacate on time; overstaying may be charged at 1.5× the hourly rate
• Leave the studio in the condition in which it was found
• Comply with the Studio Partner's house rules as stated in the Listing
• Not exceed the stated capacity of the studio
• Obtain any required permits for commercial shoots, drone operation, or use of pyrotechnics
• Not conduct illegal activity or any activity that violates UAE law on the premises
• Not contact Studio Partners or Talent outside the Platform to circumvent fees (§5.5)
• Treat all platform users with respect; abusive behaviour will result in account suspension

9 Production Talent

Talent registered on Stagd are independent contractors, not employees of Stagd. Stagd conducts reasonable verification of Talent profiles (portfolio review, identity checks) but does not guarantee the accuracy of Talent-provided information or the quality of their services.

Talent must maintain professional standards, honour confirmed engagements, and comply with the no-bypass clause (§5.5). Talent who repeatedly cancel, receive consistent poor ratings, or engage in prohibited conduct will be removed from the Platform.

10 Prohibited Conduct

The following is strictly prohibited:

• Creating fake accounts, reviews, or listings
• Harassing, threatening, or defaming other Users
• Misrepresenting your identity, qualifications, or studio
• Circumventing Stagd's fee structure (§5.5)
• Using the Platform for money laundering, fraud, or any illegal purpose
• Scraping, reverse-engineering, or copying the Platform's content or code
• Booking studios for purposes that violate UAE law, including adult content production or unlicensed commercial filming
• Using Stagd's AI features to generate misleading, defamatory, or illegal content
• Interfering with the Platform's security, infrastructure, or other Users' access

11 Content & Intellectual Property

You retain ownership of content you upload (photos, portfolio images, descriptions). By uploading, you grant Stagd a worldwide, non-exclusive, royalty-free licence to use, display, reproduce, and distribute that content solely for operating and promoting the Platform. You may withdraw this licence by removing the content from your profile.

All Platform content, design, software, trademarks, and AI-generated outputs belong to Stagd or its licensors. You may not reproduce, distribute, or create derivative works from Stagd's intellectual property without prior written consent.

Photographs and videos created during a booked session are the intellectual property of the Booker (or their client), subject to any model releases or third-party rights. Studio Partners have no claim to content created within their space unless separately agreed in writing.

12 Reviews & Ratings

• Bookers may leave a review within 48 hours of a booking's end time
• Reviews must be honest, factual, and based on direct experience
• Rating categories: Space Quality, Cleanliness, Accuracy, Communication, and Value
• Studio Partners may respond to reviews publicly within 7 days
• Stagd will remove reviews that are defamatory, contain personal data, or are demonstrably false
• Incentivising positive reviews or threatening negative reviews constitutes a material breach

13 Disputes Between Users

A Booker may open a dispute within 24 hours of a booking's end time via the Platform's Dispute Centre with supporting evidence. Stagd will act as a neutral mediator and make a binding determination within 5 business days. During this period, relevant funds remain in escrow.

Stagd's maximum liability in any dispute is limited to the value of the booking in question. Stagd is not liable for consequential losses such as lost income, cancelled campaigns, or production costs incurred in reliance on a booking.

14 Limitation of Liability

To the maximum extent permitted by UAE law: Stagd provides the Platform on an "as is" basis without warranties of any kind. Stagd is not liable for the conduct of Studio Partners, Talent, or Bookers; for damage to property or personal injury arising from studio sessions; or for indirect, special, incidental, consequential, or punitive damages. Stagd's total aggregate liability to any User in any 12-month period shall not exceed the total fees paid by that User to Stagd in that period.

Nothing in these Terms limits liability for death or personal injury caused by Stagd's negligence, or any liability that cannot be excluded by law.

15 Indemnification

You agree to indemnify, defend, and hold harmless Stagd, its directors, employees, and agents from any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: your use of the Platform in violation of these Terms; your violation of any applicable law; content you upload or transmit; any dispute between you and another User; or your failure to maintain required licences, permits, or insurance.

16 Termination & Suspension

You may close your account at any time via Settings > Account > Delete Account. Closing your account does not cancel existing confirmed bookings or outstanding financial obligations.

Stagd may suspend or permanently terminate your account, with or without notice, for: breach of these Terms; fraudulent, illegal, or harmful conduct; multiple substantiated complaints; failure to pay amounts owed; or circumventing fees. Outstanding obligations survive termination.

17 Governing Law & Disputes

These Terms are governed by the laws of the United Arab Emirates — specifically the laws of the Emirate of Dubai and applicable federal UAE law. Disputes shall first be attempted via good-faith negotiation (30 days), then referred to the exclusive jurisdiction of the Dubai Courts. Users registered in the DIFC may elect jurisdiction of the DIFC Courts.

18 General Provisions

• Entire Agreement: These Terms, the Privacy Policy, and supplemental policies constitute the entire agreement between you and Stagd.
• Severability: If any provision is held invalid, the remaining provisions continue in full force.
• No Waiver: Stagd's failure to enforce any provision does not constitute a waiver of the right to do so in future.
• Assignment: You may not assign your rights under these Terms. Stagd may assign its rights in connection with a merger or sale of assets, with notice.
• Force Majeure: Stagd is not liable for failures caused by circumstances beyond our reasonable control.
• Language: In the event of conflict with any Arabic translation, the English version prevails.
• Updates: We will provide 14 days' notice of material changes via email and in-app notification. Continued use constitutes acceptance.
